DWAC is allowed to have conversation with prospective mergers they just can’t create the SPAC with the premeditated plan to merge with a specific company so what he is saying is just not accurate from a legal perspective. Secondly, the idea of the pipe being structured improperly might only hold water if the price declined from the pre pipe price to the pipe offering price. It actually went higher than the price before the pipe. So, no one was disenfranchised.
