9. Please tell us the basis for your anticipation that your common stock will trade on the OTC Market Group platform after the spin off, and whether you intend to register your common stock under the Securities Exchange Act.

Their response

9. After the effective date of the Company's Registration Statement the Company will be required to file 10-K, 10-Q, and 8-K reports with the commission pursuant to Section 15(d)of the Securities Exchange Act of 1934. As such, the Company's common stock will be eligible to trade on the OTCQB platform maintained by the OTC Markets Group, Inc. The Company does not intend to register its shares under the Securities Exchange Act.
