I have seen companies with a small number of shareholders negotiate that into a smaller amount via their legal and filing fees and the company pays the issuance fees for all.

Did not happen here

Example

200 shareholders * $38 = only $7,600 for the company to pay

not much for a company paying $16,000 to an external contractor (Kepman’s Cousin)

and companies can negotiate a lower sum payment
