(3) On April 13, 2021, Enthusiast Gaming granted restricted share units to certain officers, management, non-executive directors, employees, and consultants of the Company pursuant to the Company’s share unit plan (the “SU Plan”).

(4) On February 10, 2021, Enthusiast Gaming completed a public offering on a bought deal basis of 7,383,000 Common Shares at a price of $5.75 per Common Share, for gross proceeds of $42.5 million.

(5) On January 20, 2021, Enthusiast Gaming issued 429,354 Common Shares in fulfilment of a deferred share payment relating to the acquisition of Steel Media Ltd. by Enthusiast Gaming in October 2019. The issue price per Common Share was determined in accordance with the applicable share purchase agreement.

(6) On December 29, 2020, Enthusiast Gaming issued 91,009 Common Shares for services received. The issue price per Common Share was determined in accordance with the applicable services agreement.

(7) On December 9, 2020, Enthusiast Gaming granted stock options to certain officers, management, and non-executive directors of the Company pursuant to the Option Plan.

(8) On December 9, 2020, Enthusiast Gaming granted restricted share units to certain officers, management, and non-executive directors of the Company pursuant to the SU Plan.

(9) On August 31, 2020, Enthusiast Gaming completed a public offering on a bought deal basis of 11.5 million Common Shares at a price of $1.50 per Common Share, for gross proceeds of $17.25 million.

(10) On August 30, 2020, Enthusiast Gaming issued 18.25 million Common Shares to the Selling Shareholder in consideration for the purchase and sale of Omnia Media Inc.

This prospectus supplement, together with the accompanying short form base shelf prospectus of Enthusiast Gaming dated May 6, 2021 (the “short form base shelf prospectus”) qualifies the distribution (the “Offering”) of 8,000,000 common shares (the “Firm Shares”) in the capital of Enthusiast Gaming Holdings Inc. (“Enthusiast Gaming” or the “Company”) at a price of USD$5.75 per Firm Share (the “Offering Price”). The Offering Price has been determined by negotiation between Enthusiast Gaming and RBC Dominion Securities Inc. (the “Lead Underwriter”), on their own behalf and on behalf of the other Underwriters (as defined herein).


(1) The Offering Price has been determined by negotiation between Enthusiast Gaming and the Lead Underwriter, on its own behalf and on behalf of the other Underwriters. The price to the public is payable to the Underwriters in US dollars and proceeds to Enthusiast Gaming will be payable by the Underwriters in US dollars.

(2) Enthusiast Gaming and Blue Ant Media Inc. (the “Selling Shareholder”) have agreed to indemnify the Underwriters against certain liabilities, including liabilities under the United States Securities Act of 1933, as amended (the “U.S. Securities Act”). See “Plan of Distribution”.

(3) Before deducting expenses of this Offering payable by the Company estimated at USD$924,000 which, together with the Underwriters’ fee payable by the Company, will be paid from the general funds of the Company.

(4) The Company and the Selling Shareholder have granted to the Underwriters an option (the “Over-Allotment Option”), exercisable in whole or in part at the sole discretion of the Underwriters at any time until the date that is 30 days following the Closing Date (as defined herein),
