Blue, all that is, in my limited capacity, an agreement between the new shareholders and Brainchip, as American laws go! It is just signaling the issuance of 50,000,000 Public shares at &5.00 per share!

IMO, it means that Brainchip has many sales agreement and has to perform as a Company should when having to support a larger number of Licensees or Contractees! The Business itself is starting off from scratch, and has to put many Departments in place! It looks like from 9-15 million dollars in the bank isn't enough to house new employees and possibly a new office building somewhere in the U.S. or Australia?
