Paragraph 160 of the amended complaint:

"If the Court does not grant Optec’s request for a preliminary injunction, Defendants will attempt to file Articles of Merger and/or a Certificate of Merger with the Wyoming Secretary of State and the New York Secretary of State..."

And paragraph 162 of the amended complaint:

"Moreover, if the Court does not grant Optec’s request for a preliminary injunction, Defendants will attempt to enforce their alleged security interests and, as they have expressly threatened to do, take possession, dispose of, or encumber the assets of Optec".

Does that mean WeShield could take over Optec? And maybe that's REALLY what Roger is afraid of? That's not necessarily a bad thing for us longs, is it?? I mean, you all know I've been a huge supporter of this ticker for a long time, and if you go back and read some of my prior posts, I, along with another poster, brought up the possibility of a "hostile" takeover. Why would WeShield do that? Is it because of the $31 MILLION in revenue reported on Optec's annual report, even though it was unaudited (yes, I know, but even unaudited you can't post exorbitantly high numbers without the risk of prosecution)? If not for the revenues, then why? Does Mr. Sinensky see the value in Optec's patents, fuel maximizer and real estate?

And finally, since Optec admitted the acquisition was complete in various PRs (yes, again, I know "press release/mess release" but please allow me to finish my question) isn't Roger bound by that?

So....my guess is, Roger is afraid of a takeover and filed this complaint to get ahead of it; however, the Court will dismiss the lawsuit, WeShield will file for a merger, and then WeShield will take over Optec.

Granted, I could be wrong, and even if I'm right this is all gonna take a little time, but I think I want to stick around and see how this pans out.......
