Dr. Dent started NEO, or NOGN as it's ticker was originally, by purchasing a company that was already on the penny stock exchange. That way they didn't have to go through an IPO. The explanation given at the time was company purchased had too many shares outstanding for a startup company like NEO and that is why he did the reverse split.
