Effective September 28, 2021, the Securities and Exchange Commission (SEC) revised its rules for when and how a company’s stock can be publicly quoted on our markets. Rule 15c2-11 now requires that current information about a company be publicly available in order for that company to maintain a public market.

All securities on our markets must comply with the rule and provide current information on or before the September compliance date. Companies designated as Pink “No Information” will move to the Expert Market on September 28th unless they comply with the new requirements. OTC Markets Group asked companies at risk of losing their public market to submit an application for access to OTCIQ by June 30, 2021 (required for non-SEC reporting US companies to publish their information). We set this deadline to ensure that we have sufficient time to confirm the required information is publicly available before the SEC’s September 28th deadline. While we are working diligently to process as many applications as possible, some applications received after June 30th may not be processed before the September compliance date. Companies that are not designated as “Current” or “Limited” information as of September 28th will move to the Expert Market, with significant restrictions on quoting and market data distribution. Please note that even if a company submits a timely application and posts all of the required disclosure, late filings and deficiencies in the information posted can cause a company to remain in the Limited or No Information tiers.
