Every day that FINRA does not announce the spin-off, is an (extra) day that potential buyers desperately need if they want to buy shares and qualify for the dividend

One could argue that every day that goes by means that the spin-of/dividend is less likely to happen (cfr SIAF), but they seem to double down with every filing (and much more straight-forward than SIAF), cfr this quote from the latest filing;

Shareholders are entitled to 1 share of Equity Art Corp Ltd as of the record date of September 2021 for each share held on that date should FINRA approve this corporate action

This also means that HERB disagrees with your statement, but I would advice against anyone selling based on this news assuming that they will keep the spin-of shares
