Actually, the Market Cap and SS posted on OTC Markets is inaccurate. OTC Markets show an OS of 54m, but the last 8k filing says an OS of ~68m.

Section 2.6 Authorized Shares. As of the Closing (i) the total number of authorized shares of common stock of the Company shall be 500,000,000 par value $0.001 per share, and that the total number of shares of common stock of the Company issued and outstanding shall be 68,346,042 (ii) the total number of authorized shares of preferred stock of the Company shall be 10,000,000, par value $0.001 per share, and that the total number of shares of said preferred stock of the Company issued and outstanding shall be 10,000,000 of Series A-1.

So market cap should be around ~20m.

Doesn't change your overall point that this stock is incredibly undervalued based on the merging entity. But just to clarify, in case people see a jump all of a sudden on OTC markets to 68m and start yelling about dilution.
