SS has almost nothing to do with the decision to RS. Everyone who argues against the odds of an RS keep using this logic and it doesn't work. It only effects the size of the RS.

The company buying wants to go public to raise funds, they need shares to do that. An RS or AS or BOTH is how you get the shares needed.
Quite often these companies already have insiders they promised shares to and those people are waiting to get payed.
The liquidity problem is always BS. The company can make it as liquid as they want when they start issuing shares.
The REAL issue is the fact the companies are always a BIG unknown most of the time. Until they make noise and create interest it doesn't matter how many shares they have, no body wants them.
Look at LICH, Look at BRRN, UPCO, SMFX...months to years now with no market interest because the companies are dead quiet.
ENMID just RM'd and RS'd now the waiting game begins. We wait and see if new owners will do something in our lifetime.

If you stay in post takeover you are investing long in a big unknown. If you can't stomach that get out before the merger.
