On December 10, 2020, One World Cannabis Ltd. (“OWC-Israel”), an Israeli subsidiary of OWC Pharmaceutical Research Corp., filed a petition under the Insolvency and Rehabilitation Law, 2018 in the Israeli Haifa District Court. As stated in the petition, OWC-Israel is insolvent at the present time and met the conditions required under Israeli law for submitting a petition to the court. OWC-Israel stated that it believes that there were no alternatives to filing the petition and having the court find a suitable solution for the benefit of its creditors.

In case there is any doubt in the validity of the above filing, here is the one from Discover Growth Fund filed on February 25, 2021 that also verifies the application before the Haifa District Court.

(“OWC-Israel”), an Israeli subsidiary of the Issuer, filed a petition under the Insolvency and Rehabilitation Law, 2018 in the Israeli Haifa District Court. On December 13, 2020, Pursuant to Section 5(g) of the Certificate of Designations, Preferences and Rights of the Series A Convertible Preferred Stock of OWC Pharmaceutical Research Corp., the Reporting Person waived the 4.99% limitation on beneficial ownership provided for therein. The notice was effective on February 16, 2021, sixty-one calendar days after the date of such notice.

1. On 25/03/2021 a request to open proceedings against the company was filed by creditors of the company.
2. On 29/03/2021 the court scheduled a hearing for 05/07/2021 from 14:30 – 15:00.
3. On 29/03/2021 the court decided that until the next hearing the requestors must issue a copy of the application for proceedings against the company, including appendices, to the Haifa and Northern District Insolvency Commissioner, as well as to the company, via registered mail with confirmation of delivery or personal delivery by 07/04/2021.
4. The court also decided that the company will submit its response to the requestor’s application within 14 days from receiving the application. The requestors may issue a reply to the company’s response within the next 7 days.
5. The Insolvency Commissioner shall act in accordance with the provisions of Article 21 of the Publication of Application Regulation.
6. The Requestors will submit the application and the Insolvency Commissioner’s certificate of approval no later than 24 hours before the scheduled hearing.
7. A court hearing is scheduled for 05/07/2021.
