The Company agreed to reverse split the common stock on a 1-10 (one for 10) basis. The Company is, as of the dividend date, providing shareholders of common stock holding 4,440 or fewer shares of BMIN Common Stock shall be provided special treatment such that after the reverse stock split, such holders will be rounded up to hold 444 shares of the Company (the “Round-Up”) and providing shareholders of common stock holding 4,000,000 or more shares of BMIN Common Stock shall be provided special treatment such that after the reverse stock split, such holders will be rounded down to hold 366 shares of the Company (the “Round-Down”);
