My thoughts are:

1. Large O/S Share count is one issue - split off/spin off will take care of to a great extent but no set date for that yet;

2. No specific ex-div date yet (Q3 or early Q4 little vague and people are always skeptical about OTC);

They should announce specific ex-div date asap. Later on, they can reschedule, if needed. This will assure most people. This will also address large o/s count indirectly as most goodies linked to es-div.
