The Custodian purchased 21,000,000 shares of the Company’s common stock on the open
market. On June 11, 2021, the Custodian designated and granted, to Community Economic
Development Capital LLC, a company that is controlled by Mr. Frank I Igwealor, five hundred
(100) share of Special 2021 Series A Preferred Stock, at par value of $0.001, in exchange for
$80,000. The Special 2021 Series A Preferred Stock has 60% voting rights over all classes of
stock. Each one (1) of the Special 2021 Series A Preferred Stock is convertible into
200,000,000 shares of the Company’s common stock.
