Your math is good but a term of the agreement has been broken already if what you say is the case. 95% of 5 billion is 4.75 billion and they cant deliver that many shares given the number of shares already outstanding. Talk about not negotiating in good faith. 95% of share capital wasnt available when they signed the deal. That is a misrepresentation and that usually can render a deal null and void.
