Because its in their rule book 152c-11... of the SEC, $ICBT is a shell company. It meets all the requirements of a shell company in SEC rule book. The company is an alternate reporting company. It does not file with the SEC. So, its not a contradiction.

IF they shut down ICBT, than the rule 152c-11 is null and void. What is the purpose of these rules are for "Shell companies exclusion"?
