So then... since your conclusion is that 4.3m USD is for all the assets of all Bioamber entities; clearly any other type of agreement (call it what you want-i'll use the terms in the APA i.e. confidentiality agreement, non-disclosure agreement or similar undertaking or agreement UNAMENDED BY THE APA) would be in favour of the Vendors (Bioamber)and be unrelated to the assets. And since you clearly believe all the assets were sold and there's no further consideration in the transaction in the APA; the only consideration in favour of the Vendor; Bioamber; would have to relate the common shares. I totally agree since the buyer was purchasing the business as a whole.
