Cereplast was incorporated in 2001, too, so that’s meaningless. No $5B enterprise is merging into this empty shell and handing over equity ownership to its shareholders. The current, private owners of Hongyuan own it all, 100%, and were they to decide to “go public,” they’d do a proper IPO so that the proceeds of every share of stock they sold would be capital for them. The proceeds from the O/S of this company are long gone. It would be stupid for them to had over any ownership to the shareholders of this company.

Filed less than a month ago, no merger candidate, yet the name “Hong Yuan Holding Group” was selected in November. “Hong Yuan” was selected as a name because it is very easy to “speculate” and “pump” on Twitter, et al, that it must be “Hongyuan Holdings Group” that is merging in, a thriving, legitimate, multi-billion $ business.

We believe we are an insignificant participant among the firms which engage in the acquisition of business opportunities. There are many established venture capital and financial concerns that have significantly greater financial and personnel resources and technical expertise than we have. In view of our limited financial resources and limited management availability, we will continue to be at a significant competitive disadvantage compared to our competitors.
