Because the shareholders of the dead, empty, stinky pink shell become instant equity owners of the company merging in. For nothing. No legitimate company would do that. Ever.

The name was selected for the Nevada Corporation for convenience of an easy to set up fairy tale.

I swear I’ll never use the phrase “you can’t make this stuff up” ever again after being on the OTC. Apparently you can.
