The cost of hiring a third party to do filing certification and reviewing years of documents and dealing with the SEC can cost an OTC company anywhere from $5,000 to $100,000 plus depending on the history and size of the company.
Because of high costs, many OTC companies forgo their filing if they do not have any revenues. When past the deadline of filing, the SEC may downgrade the stock to "Grey sheet trading". Many investment firms including Fidelity will not trade grey sheet tickers.
Once you own the ticker that is now in grey sheet trading, you can only sell and not be able to buy.

It is a difficult process to get back to get back to its previous OTC status. It will remain in grey market probably for a long time
