Without knowing the details, these type "debts" are typically unsecured payable like agreements that bear interest but have no teeth in terms of covenants, so the primary issue is the interest rate (ie, how cheap) and due date. Many are paid off, many are extended to give the borrow more room to raise cash on friendly terms or through profits, and some get converted to equity. In regular course, these will get paid off (some soon) and this speaks directly to why they likely in part just raised the ~$3.6MM of cash - so I'd hold the party dances on how they're using all this money to invest in growth until we see these debt items substantially repaid. Much of this Cash may leave campus sooner then some of us expect.

Regarding this sale of equity at 10 cents in Q1, I understand why the Company did it and it's a good thing that they can likely handle all of their operating needs and **remaining debt** still on their B/S for the foreseeable future, but the reality is many of us were likely using the wrong set of assumptions in assessing proforma market cap and enterprise value calculations (while buying the stock) as the Company was flooding the market with shares at a DIME! I know I feel duped in a major way, and the lack of any communication from IQST/Leandro on this massive stock sale and dilution at the retail shareholder expense is a brutal pill for me to swallow. If this is truly a one time thing and the Company continues to perform, I'll likely ultimately get over it. But in the interim, I am furious with how this played out. Repetitive immaterial smoke screen type PRs consistently hitting the news wires while a select group of institutions/family office wealth management shops/accredited investors/etc were sucking the life out of the stock price behind the curtain is a crushing blow to the gut.

Unfortunately, I should have expected this and been prepared as in hindsight the tea leaves were screaming at me. I recall posting more than once about the potential for equity sales to be occuring in the shadows that could be undercutting the stock. I should have been more disciplined, and I also expected too much from the IQST leadership team.

Note to file...any future major run in IQST stock price is at SEVERE RISK of getting sold down by the Company. Simple survey - would anyone on this board have bought IQST over ~60 cents during Q1 if they knew the Company was selling this much stock at 10 cents?

Please answer honestly.

Lastly, I've just dramatically lowered my expectations for whoever gets announced as their IBank. I've seen enough. This was incredibly disappointing on so many levels.

Have a great weekend.
