What am I missing as non business executive

Business experience! It would have enabled the discovery that Elite did not have the money nor did they have sufficient authorized shares to pay SunGen. Moreover, the share price was lower than the ten cent requirement - at that time - for selling shares to LCP. So, no they could not dilute to pay SunGen!
