Unless Pasaca requests a replacement as provided in Section 1(d) below, the New Notes will be evidenced by the Original Note, which Original Note is hereby amended to provide that the aggregate principal amount thereof is Seven Million Two Hundred Fifty Thousand Dollars ($7,250,000) (the Original Note, as amended by this Agreement, the “Amended Note” and the Original Note and the Amended Note, the “Notes”). The Original Note is further amended to provide that the principal amount thereof will initially be convertible into an aggregate of 248,479,452 shares (the “Amended Note Shares”) of the Company’s Common Stock.
