This was an overflow offering from the closed REG-A.

They had subscribed, but we asked them to back out because it brought us "over-subscribed". Instead of increasing the offering (for free trading shares) we were able to negotiate more capital for unregistered, restricted shares.

So since they had subscribed, we would have had to increase the offering. They would have bought 15M free trading shares. Instead, we were able to increase the investment but they get restricted, unregistered shares. A big win-win, in our opinion.
