ALLOCATION OF PROCEEDS FROM THE VISOLIS TRANSACTION
21. The proceeds from the Visolis Transaction need to be allocated to the individual BioAmber entities in
order for distributions to be made to the relevant creditors. As outlined in the Seventh Report, the
Visolis Transaction was an en-bloc purchase of certain assets of the three entities comprising the
Company. The purchaser in the Visolis Transaction allocated the purchase price of US$4.34million as
follows to each of the entities:
