The corporation is revoked and therefore cannot argue jurisdiction. The 8-K does nothing to reinstate the corporation or the provide the required disclosures. I will win custodianship of $RETC. Any improper dilution (if there is any) will be dealt with in the courts afterwards.

The company can't have recourse against me because I am a shareholder fighting for my rights. The officers and directors of $RETC are in breach of their fiduciary duty to the shareholders by having a revoked corporation and no disclosures.
