Where that 1 share when issued, would have the equivalent number of votes of all other outstanding shares.

For example, the additional shares could be used to dilute the stock ownership or voting rights of persons seeking to obtain control

There's no need to do so, in this scenario, which will never happen. Instead just issue the Golden Share (to Kenny). Between the Golden Share, and the common stock he already holds, Kenny could then out vote any opposition to his will.
