Rxmd can uplist to naz and do merger with net element later when Mullen gets their act together. Mullen deal says net element must divest themselves of current business for merger to become valid. It says nothing about otc or naz for the spin off.
So rx can move forward and then we may get that merger news after uplist.

Who cares as long as it all goes down.
