I believe this is the one referred to, in that Moody/Denunzio use a two step process, where the 1st merger is with another shell, and the 2nd merger brings in the assets. All debts and/or claims are resolved with the 1st merger giving them a clean shell for the second merger, free of liability. See IALS/BSPI...
