We cannot guarantee that we will be successful in listing our common stock on the NASDAQ Capital Market

That's boiler plate language with *every* uplist. Typical CMA language.

It's going to take many months to raise the capital...

They're trying to raise $10M. Once the prospectus is put out, the IB goes on the road show and tries to sell shares, it usually takes 60 days. Again, typical protocol.

Just waiting on the $GMGI bubble to burst (and it will)

It's bubble is going to "burst" onto the Nasdaq, after a successful uplist. It's fairly common for shares to be higher on the OTC than the NAZ. Traders less sophisticated down here. Plus, IB's usually push the share price hard so when they give the accredited investors their 20% discount, it's at least a 20% discount on an inflated price.

Given the recent share price appreciation, I'd say the IB's selling of shares ($10M capital raise) is going well. Probably over-subscribed, too. Can you say Greenshoe (additional 20% being raised?)?
