The incentive for conversiion is the expectation for pps increase.
The earlier the conversion the more money is madeon the upswing. The preferred share holder looses interest on his investment, however, so his willingness to convert is a sign that a pps increase is expected. There may be dilution, but the market cap is uneffected.
