There should be a premium for the Public Entity... The private entity raises money for the real estate investments. The Private Entity merges into the Public entity for a price. The existing shareholders get a piece of the new company. The Newco is then is off to the races and can use a combination of stock and cash on all future deals. It can also leverage the public markets for a. debt financing b. other deals. The Public entity is compliant and transparent and lenders love that. It has cash in the bank, cash flow from a variety of different channels and a clear plan to grow. At the end of the day this could be a huge Real Estate investment play. It all depends if the management is on board and has the vision... It could also be something that they build up and sell the whole company.... Either way great way to clean up AWON.
Its really going to come down to the shareholder vote on the merger and the valuation. I am all in for the potential merger because it gives the investors a clear direction for the company.
