On January 29, 2008, pursuant to an agreement and plan of reorganization, (the Agreement) by and among the Company, Nicholas Stone and American Spring Pharmaceutical, Inc. (ASPI), ASPI purchased certain shares of the Company’s common stock and ASPI transfered of 100% interest in Gansu Biology Science and Technology Stock Co., Ltd (GDBS) to the Company. The Company is engaged in the production, marketing and distribution of bacteria-based products, which are used as additives for livestock feed and crop cultivation. GDBS owns an 80% interest in Lushen Bio-tech Co., Ltd (Lushen) and 60% interest in Elemiss Food Co., Ltd. (Elemiss).
