You're right - we do need to see the receipts. I'm speculating with the following, but I think that Harry had a stack of papers and handed them to Charles who handed them to the M&B to finish.

I'm also speculating that IMMB is just going to be left as is right now. Would it need to be filed with both companies? Or could it be filed with ENZC only?

Right now it appears to me that IMMB is being abandoned after all of the assets were transferred into ENZC.

From what I see, Harry just wanted a clean company to do business with while he completed his science. And Charles wanted to take his company public. They both probably met through Gaurav and they all likely thought that the two companies would be able to combine their tech. Now it's a mini biotech slated to license its tech to the big players.
