Sure, there's valid reasons but they lied, the company tweeted no dilution. That's what I have a problem with. The company also tweeted about an "inked deal" with Chase and still no info on that. Since we haven't seen an 8k, I suspect the deal isn't actually signed.

They're appearing pretty slimy now. No reason they can't just go back and decide to do a RS or increase the AS in a moments notice.
