Triton Funds LP has signed agreements with the Company for the purchase of up to $5,000,000 in value of the Company common stock (the “Triton Transaction”). The Authorized Increase is therefore necessary as the Company agreed to set up a reserve of five hundred million shares of Common Stock (the “Triton Reserve”) for the Triton Transaction.
