Hey, thanks for pointing that out. At first I thought you were mistaken, because the due-date rule for filing 10-Q's and extensions specifies a number of "calendar days" and calendar days include holidays. So I checked, and you're right. The SEC practice is to exempt weekends and Federal holidays. So our 10-Q for the last quarter of last year is due this coming Monday, 2/22.

The quarter ended 12/31/2020

The 10-Q was due by 5:30 PM ET 45 calendar days later, which would be 2/14/21, except that day was a Sunday, so it would be due the next day, Monday, 2/15/21, except that day was a Federal holiday, so it was due on Tuesday, 2/16/21.

On 2/16/21 the company filed a NT 10-Q, giving it a 5-calendar-day extension, making the due date 2/21/21, except that is a Sunday, so the due date is tomorrow, 2/22/21.

So we're still good!

PS - We celebrate Presidents Day on the third Monday of February. It celebrates the birthdays of George Washington and Abraham Lincoln. This year Presidents Day was on the 15th. Presidents Day is a federal holiday, but the Feds officially call it "Washington's Birthday". However Washington wasn't born on the 15th. And neither was Lincoln. So George Washington wasn't actually born on Washington's Birthday. And interestingly his birthday is on February 22, 1732, but he was actually born on February 11, 1731. That's because the when Washington was born the Colonies were still using the old Julian calendar which was 11 days off, and New Years wasn't celebrated until March 25th, meaning Washington was born the year before he was born. Fun!
