$RSHN: likely imo to get current soon.

Please take the following as opinion only and not a buy/sell/hold recommendation or financial advice.

Highlights:

1) No convertible debt/no dilution:
Imo, RSHN stands out for being a very rare sub-penny cannabis company with no convertible debt. The only other cannabis stocks I could find with no convertible debt that were until recently in the trips and teens were CHN* and BLD*—both of which, imo, were able to see a steep increase in the value of their stock largely because, when traders finally found their stocks, there were no convertibles waiting to beat the stock back down.

Since RSHN’s last disclosure was 11/19/2019 for the quarter ending 09/30/2019, how do we know they haven’t taken on convertible debt in the meantime? Simple: no dilution since that time. If there was convertible debt, shares would be hitting the market, but there have been no new unrestricted common shares issued since 2018. This isn’t a 100% guarantee that there’s not a new note with a future maturity date we haven’t heard about yet, but it’s enough for me personally to see over two years go by without a diluted unrestricted common share.

2) Multiple JVs with Gold River Productions (formerly “XYZ Hemp”)
RSHN has a lot cooking via multiple joint ventures with sister company Gold River Productions, which just went current in February 2021 after a similar lapse in reporting as RSHN.

From GRPS’s Q2 2020 quarterly (RSHN is delinquent in reporting, but GRPS is current, so some good RSHN information can be found on GRPS’s disclosures):





3) Investments/Acquisitions:

***RSHN owns 250,000 shares of STNT, currently at $3.60 per share for $900,000 total value. STNT has a 52-week high of $14 so there’s room for that investment to regain its previous value.

***GRPS and RSHN recently acquired highly profitable Able Academics.

***Rushnet and GRPS each own 5% net income interest in certain of Halberd Corporation's medical initiatives/technology. Also a JV with Halberd on Anti-Addiction Patch.

4) Heavy volume and accumulation means traders/investors are interested
Volume for RSHN has been through the roof with steady accumulation, and for a bird’s eye view of the technicals, it’s currently a 100% Buy on Barchart.





5) Likely go get current soon
GRPS just went current in February, and I think it’s reasonable to expect RSHN won’t be far behind since the two companies are basically peas in a pod with interdependent business models and finances, and the same Chairman of the Board, Richard E Goulding.

6) Cannabis-related products exist and are being placed in stores:
GRPS and RSHN recently contracted for the services of product placement specialist Ronnda Shields, which above all else points to something most OTC cannabis companies can’t say: there are actual cannabis products here.



7) Reason to believe good PR is coming soon: sister company GRPS just Tweeted the following this morning, and given that RSHN and GRPS are the Siamese twins of OTC cannabis stocks, PR for GRPS = PR for RSHN:



Summary of the basics:
So, putting that all together, we have a cannabis company with no convertible debt and no dilution, multiple joint ventures that include cannabis products on the shelves, $900K in STNT stock, a stake in a highly profitable school, plenty of volume and trader interest, and imo the likelihood of getting current sooner than later. With all of the above, and with the OTCs being so hot in general, RSHN stands out one of the last viable cannabis stocks that hasn’t yet had its pps catch up with its potential imo.

Recent Social Media Posts:
Addressing some shareholder chatter about whether there might be a reverse split in the future, RushNet had this to say via Twitter, and Ronnda Shields confirmed this with her own tweet.



Since the company has no convertible debt (as of last reporting anyway) and hasn’t been diluting (which further corroborates that there’s still no convertible debt), I don’t see why they’d need to reverse split anytime soon, but if they did, I’d be content with an R/S plus top-off shares in a spinoff. Even CE stocks from obscure sectors are getting blown up into the teens and beyond these days, so I think it would all work out fine to have a fresh reporting OTC ticker in our accounts—just my opinion. Anyway, there’s no recent split history and RSHN is not a serial r/s company. The last r/s was a 1:100 twenty years ago in 2001.

Potential upcoming catalysts to watch for:
What are some catalysts that might be seen in the near term? 1) Quarterly and Annual Reports at OTC Markets and an attorney letter seem likely if RSHN follows the precedent set by sister company GRPS. With new SEC regulations coming into effect this year, GRPS will need its sister company to be in compliance, so personally I feel confident that RSHN will follow GRPS and get current. 2) RSHN’s website is sorely out of date: the website getting a proper update could give the stock a jolt. 3) New JVs with GRPS and perhaps other partners. 4) Updates on existing JVs and projects. 5) STNT news and/or pps increase. 6) Cannabis-friendly legislation. 7) Product placement and sales.
