Lock-up Agreements
We have agreed, in the underwriting agreement, to lock-up restrictions on the issuance and sale of our securities from the date of this prospectus supplement through March 29, 2021 (inclusive), although we will be permitted to issue stock options or stock awards to directors, officers, and employees and consultants under our existing equity incentive plan or other stock compensation plans and other customary carve-outs to be set forth in the underwriting agreement. The lock-up restrictions will not apply to (i) any common shares issued by us upon the exercise of an option or warrant or the conversion of a security outstanding on the date hereof and referred to herein, (ii) any common shares issued or options to purchase common shares granted pursuant to our employee benefit or share compensation plans or (iii) to be issued to officers or consultants, provided that, in each case, the recipient of such common shares or other securities is subject to restrictions similar or greater than those contained in the underwriting agreement. Canaccord Genuity LLC may, in its sole discretion and without notice, waive the terms of this lock-up agreement.
