On December 16, 2020, subsequent to the end of this reporting period, the Company entered into a reverse merger
agreement with The Data Source (UK) Ltd, an entity organized under the laws of England and Wales, to acquire 100% of
the outstanding stock of TDS. Closing of the deal is dependent on the completion of a reverse 1:15 split of the Company’s
common stock and the issuance of 100,000,000 post-split common shares on a million-to-one basis to the sole
shareholder of The Data Source (UK) Ltd, Robert Stephenson
