They may not "need" a 8K but, they can't go wrong by filing one. They are for material events that shareholders should be informed of. Their butts are covered, a shareholder cant sue them later claiming they should have said something and hiring her or paying her with shares caused the stock to tank. Always bottom feeder lawyers lookin for a way....
