Due to the fact that it did not close by EOY I am fairly certain that them closing this deal is contingent upon the proposed offering in the S1. They need cash. Same reason as to why the Nsure investment was reduced so dramatically and replaced with a website...

So to answer your question, I absolutely do not think the deal will be closed and announced right after the S1 is approved. It’ll be months IMO until they are able to close that deal. The process of an offering extends beyond just getting the S1 approved.

As I’ve said before, there’s nothing on this PLANET I’d like more than for Ezra and co. to prove me wrong and make me look like a fool for ever questioning their competency!
