Historically, this company has been a loss maker. They pay their employees out of revenue, stocks, warrants, options, etc. This generates a loss, which must be covered through private placement of shares/warrants/options.

This means of funding the company allows them to register their offerings without having to say they are using them to pay employees...because technically they aren't.

As far as the past, why should the present/future be any different? The company executives are the same people, excepting Gino Peirera, who is no longer there
