$XLTD Consulting agreement with DWC, LLC

On September 20, 2020, the Company entered into a consulting agreement with DWC, LLC. Pursuant to the
terms of the consulting agreement DWC, LLC is to receive 4,000,000 restricted shares of the Company’s
common stock in exchange for corporate consulting services to be performed. In addition, DWC, LLC has
agreed to pay par value of the shares. As of October 31, 2020, these shares had not yet been issued and
therefore have been recorded as a stock payable and payment of par value of the shares has been recorded as
a stock subscription receivable
