I'm not expert in laws governing public equities, but I would assume one has to announce ANY material change that could potentially affect share price. A LOI termination would/ should fall into that category.

My opinion, is no news is good news. When Q4 ends we will either get an Agreement or we won't. If we don't I am assuming (maybe big if) that due to going past the LOI deadline he submitted as a deadline of agreeing to extend to end of Q4 that a new one would have to be submitted explaining the new situation (off or another extension).

Reading the LOI it would seem CLX is very keen that ANY public announcement be done through the OTC website. My bet is any material change will show up there.
