Because of the facts that 1) this is a pink sheets stock 2)the pps has spiked up incredibly since the first week of December on speculation, and 3) merger/audit/new exchange news for pink sheets stocks flops 99% of the time.

As I said, IMO, looks like time to sell. But that is only my opinion.
