Since Lazar is still custodian he had the power to extend the notice to NVSOS unless they specifically agreed that Lazar was to transfer preferred shares and power immediately. Even now Lazar has not filed a CoD to transfer the preferred shares. They probably want to let him hold on to the Custodianship/CEO tiles in order to handle the remailing court and filings with NVSOS/SEC instead of hiring a new lawyer for the remaining steps in order to save time and money and create a smooth transfer including the remaining steps of fixing the SS. If they did sign on Nov 11th than the buyer was extremely confident that there would be no claims. I would expect we likely see the CoD formally transferring the preferred shares as well as fixing the share structure before the status check so that Lazar can then terminate his Custodianship. Lazar may even handle the initial PR in the form of 8-k announcing the plan of the new company.
