from the quick look at the financials when I was first alerted to SIRC I would say because they have a large amount to debt and aren't making a profit (8% loss on operations!).

didn't look into the terms of the notes but fully diluted SS at all

They need to sort out their debt and show how they plan to get out of what is typically a huge hole for OTC/Pink companies.
