The fact that there was an audit doesn’t mean there there were no errors or irregularities in the financial statements. Auditors frequently miss things particularly if there was a coordinated effort on the part of the management. Not saying there was, but there are few reasons for a delayed filing. Rumors are that Mars was terminated for cause because it happened very suddenly. This was not a normal departure.
